Idea Submission Policy

IDEA SUBMISSION POLICY

Lindsay Corporation (“Lindsay”) receives many submissions proposing ideas for Lindsay's use and commercialization. Most of the ideas which are new and useful to Lindsay are internally generated by our scientific, technical, business development, and marketing staff who have access to prior patents, publications, and other sources of information. Many outside suggestions are often already known or available to Lindsay. However, in rare instances, unsolicited ideas submitted to Lindsay may be new and useful and Lindsay may consider using such idea, subject to the terms and conditions in this Idea Submission Policy (this “Policy”).

In order to consider these ideas without creating any misunderstandings, Lindsay only accepts ideas subject to the terms and conditions in this Policy. If you do not agree to any term or condition in this Policy, please do not submit your idea to Lindsay. By submitting your idea to Lindsay, you affirmatively agree to all terms and conditions set forth in this Policy.

Acceptance of your submission, idea or contents therein imposes no obligations on Lindsay, and in particular: (i) Lindsay has no obligation to acknowledge or review your submission, or otherwise respond to you in any way regarding your submission; and (ii)  Lindsay has no obligation to keep your submission, idea or the contents therein confidential, and may publish or otherwise publicly disclose your submission, idea or contents therein in any existing or later developed media.

Your submission, the idea and all contents therein automatically become the property of Lindsay, without any compensation of any kind owed to you.

Lindsay may use or distribute your submission, idea or contents therein for any purpose and in any way, including but not limited to using them in new Lindsay products or services, or to improve existing Lindsay products or services.

You understand and agree that: (i) Lindsay has made no promise and has not entered into any agreement to pay you for Lindsay’s use or distribution of your submission, idea or the contents therein; (ii) there is no agreement, express or implied, by and between you and Lindsay that requires Lindsay to pay you for use or distribution of the submission, idea or contents therein; (iii) Lindsay will not be unjustly enriched by using or distributing your submission, idea or contents therein for any purpose without compensation to you; (iv) there is no relationship by and between Lindsay and you that would give rise to a duty of confidentiality imposed upon Lindsay in connection with your submission, idea or the contents therein; and (v) the submission, idea and contents therein are not your personal property that may be protected against conversation or other similar torts.

You represent and warrant that you have all legal rights necessary to make the submission, idea and contents therein available to Lindsay and that your submission, idea and contents therein do not include the confidential information, proprietary know-how, trade secrets, or other intellectual property of any other person or party.
